Informational purpose
ApexQuant is the operating brand of Blackbox Labs LLC, a limited liability company registered in the State of New Mexico, United States of America. The content on the website, in the training materials, on the social channels, in the videos, in commercial communications and in reports is provided for informational and educational purposes and to present the products and services.
No content constitutes personalised financial advice, investment advice, asset management, public solicitation of savings, an individual recommendation, or an invitation to buy or sell financial instruments.
No management of funds
ApexQuant does not hold, manage or move the money, accounts or assets of the user or of third parties, and has no power of disposal or withdrawal over any account. Every decision to purchase, deposit, open an account, activate tools or use services connected to the financial markets remains the sole responsibility of the user, who assumes it entirely on their own initiative.
Risk of loss
Operating on the financial markets entails a significant risk of loss of capital. Losses may be rapid and substantial. Past performance, examples, screenshots, simulations, backtests and testimonials do not guarantee future results and do not represent a promise of return. The user should only use capital that they can afford to lose and, where necessary, consult a qualified adviser before making significant financial decisions.
ApexQuant's role
ApexQuant offers products and services connected to financial education and the financial markets, which may include training, digital content, software tools, informational consultancy, communities, subscriptions and related services, as set out in the specific offer.
Where a product or service involves the use of third-party services, platforms or tools, the user activates and uses them independently, under their own responsibility and in accordance with the terms of those parties. Any funds used always remain with the third party with whom the user opens their relationship, and never with ApexQuant.
Third-party data, results and content
Market information, data, quotes, reports, social content, screenshots and references to third-party tools or services may change over time. ApexQuant undertakes to present information in good faith, but does not guarantee the absence of errors, completeness or constant updating of every piece of information published.
Conflicts of interest
ApexQuant may receive fees, commissions, revenue share or other economic benefits from third parties whose products or services are presented or linked. Such relationships, where present, do not alter the informational nature of the content, do not involve any management of clients' funds and are disclosed transparently in the materials or on the dedicated pages.

Preamble
Blackbox Labs LLC, with registered office at 412 W 7th St, Clovis, New Mexico 88101, United States of America (registered with the New Mexico Secretary of State, filing no. 3157967), operates the commercial brand ApexQuant.
These terms govern the use of the website, the materials, the communications, the digital content, the informational services, the support services, any free resources and any commercial offers connected to the ApexQuant brand.

Subject matter of the relationship
The Company offers products and services connected to financial education and the financial markets, which may include training, digital content, software tools, informational consultancy, communities, subscriptions and related services. The nature, subject matter, price and any software tools of each product are those set out in the relevant page, offer, checkout, contract, commercial communication or members' area.
ApexQuant does not manage, hold or move the money, accounts or assets of the user or of third parties. Access to an ApexQuant product or service does not transfer to the user any right over the Company's trademarks, code, methods, strategies, materials, processes, reports, content, design or know-how.
Third-party services and tools
Where a product or service involves the use of third-party services, platforms, tools, accounts or terminals (for example a broker or a market platform), the user opens and maintains that relationship directly with the third party, independently. That relationship is governed by the terms, risk disclosures, verification procedures (KYC/AML) and operating conditions of the third-party provider.
ApexQuant does not hold custody of or move funds, does not open accounts on behalf of the user and is not responsible for the conduct, solvency, licensing, execution, continuity or compatibility of third parties. Compatibility with specific services, platforms or tools depends on the product, the software, the offer and the operating instructions communicated from time to time.
Purchase, payment and access
Where paid products or services are available, the purchase is made through the methods indicated on the sales page or at checkout, including through payment service providers. The prices shown at checkout are inclusive of applicable taxes. The user undertakes to provide correct data and to use payment instruments of which they are the legitimate holder.
ApexQuant may offer several products, plans, prices and payment methods, including one-off payments, instalments, subscriptions, renewals or hybrid arrangements. Prices, duration, the content of the offer, any instalments, renewals, limitations, bonuses, commercial guarantees or special conditions are valid only if expressly indicated in the specific offer. Prices and plans may change over time: for each purchase or renewal, the conditions accepted by the user at the time of the transaction apply.
Instalment payment and missed payments
Where a product is purchased with payment split into two or more instalments, the user undertakes to pay each instalment by the deadlines indicated in the offer, at checkout or in the accepted communication.
If payment is missed, the Company will ask the user to remedy the situation within a reasonable period. For consumers, the entire outstanding amount may become payable early only where the breach is serious or repeated and, in any event, only if the unpaid instalment or instalments exceed one eighth of the total price, subject to the statutory requirements for notice of default; failure to pay a single instalment not exceeding that threshold does not cause loss of the benefit of the term. The Company may suspend access to the product until the situation is remedied, within the limits permitted by law.
The user does not acquire a full and definitive right to use the product until the price has been paid in full. For products with immediate access, any access granted before full payment is conditional upon full payment and may be suspended in the event of serious default, within the limits permitted by law.
Intellectual property
All ApexQuant materials, including texts, videos, graphics, reports, dashboards, procedures, frameworks, trademarks, trade names, visual elements, layouts, software, methods and confidential content, are protected by intellectual property rights. The user may use them only for personal, non-commercial use and within the limits of the access granted. Copying, resale, sharing, publication, distribution, scraping, reverse engineering, reproduction and unauthorised commercial use are prohibited.
User obligations
- To use the website, materials and services lawfully and in compliance with these terms.
- Not to share credentials, confidential content or personal access with third parties.
- Not to interfere with systems, pages, communities or accounts connected to ApexQuant.
- Not to use ApexQuant content to promise returns, resell services or create unauthorised competing offers.
- To assess independently the risks, costs, compatibility and consequences before operating on the markets.
Accounts and access
Where access to a product or service requires the creation of an account or the use of personal credentials, the user is responsible for their safekeeping and confidentiality and for all activity carried out through them, and undertakes to inform the Company promptly of any unauthorised or suspected use.
In the event of unlawful, fraudulent or abusive use, or of a serious breach of these terms, the Company may suspend or close access, accounts or credentials, giving notice to the user and, where the breach can be remedied, allowing a period to do so. For non-serious breaches, before any suspension the Company sends the user a warning and allows a reasonable period to remedy. Closure for reasons attributable to the user does not affect amounts already accrued; the consumer's right to a refund of the paid but unused portion of the service and to mandatory statutory remedies remains unaffected.
Limitation of liability
To the extent permitted by applicable law, the Company is not liable for market losses, lost profits, the user's operational decisions, interruptions, technical errors or malfunctions of services, platforms, providers, payment instruments, cloud services, social networks or other third-party providers.
Nothing in these terms excludes or limits the Company's liability for wilful misconduct, gross negligence, death or personal injury, nor the mandatory rights granted to consumers by law.
Indemnification
To the extent permitted by applicable law, the user shall hold harmless the Company, its group companies and their respective directors, employees and collaborators from costs, damages, reasonable expenses (including legal fees) and third-party claims arising directly from: (a) use of the website, materials, software or services in breach of these terms or of the law; (b) the user's infringement of third-party rights, including intellectual property rights; (c) the unauthorised sharing, resale, publication or distribution of ApexQuant content.
This clause applies only to matters attributable to the user and does not cover cases where the damage results from the Company's wilful misconduct, gross negligence or breach. For consumers, the indemnity applies only within the limits permitted by consumer-protection legislation and does not affect mandatory statutory rights.
Force majeure
The Company is not liable for delays or failures caused by events beyond its reasonable control, such as network or power outages, infrastructure failures, malfunctions of providers, platforms, cloud or payment services, acts of authorities, natural events or other force majeure events.
Service continuity and interruptions
To ensure the best possible service level, the Company may temporarily interrupt the service for maintenance, updates, technical or security reasons, giving appropriate notice where possible. The Company may also suspend or discontinue a service for objective reasons, with reasonable notice except in cases of urgency and in compliance with the principle of proportionality. Where a paid service is discontinued, the Company will cooperate with the user to enable the recovery of their data and will grant a refund of the paid but unused portion of the service, in addition to any further rights provided by applicable law.
Withdrawal and refunds
A consumer who purchases at a distance is, as a rule, entitled to a right of withdrawal within 14 days, subject to the exceptions provided by law. For digital content and services performed immediately, the right of withdrawal is lost only if the consumer has expressly consented to the commencement of performance before the expiry of the withdrawal period and has acknowledged the consequent loss of the right of withdrawal; such consent is obtained at the time of purchase.
Any commercial refund guarantees, trial periods, cancellations or special conditions are valid only if expressly indicated on the offer page, at checkout or in a written agreement. In the absence of an express guarantee, the product does not include a commercial refund guarantee, without prejudice to the mandatory rights provided by applicable law.
Legal guarantee of conformity
For digital content and services, the legal guarantee of conformity provided by applicable law (in Italy, Legislative Decree No. 173/2021) remains unaffected, regardless of any commercial guarantees offered.
Governing law and jurisdiction
In relationships with consumers, the mandatory rules and the jurisdiction of the consumer's EU/EEA country of residence apply; nothing in these terms limits those rights. The consumer may also turn to the alternative dispute resolution (ADR) bodies competent in their own country. For relationships with non-consumer clients, the law of the State of New Mexico (United States of America) and the jurisdiction of the New Mexico courts apply.
Changes
The Company may update these terms for regulatory, operational, technical or commercial reasons. Changes apply for the future: the version accepted by the user at the time of purchase applies to the individual transaction. For ongoing relationships (for example subscriptions), material changes are communicated with reasonable notice and a user who does not accept them may withdraw at no cost.
Assignment of contract
The Company may assign or transfer to third parties, including in the context of corporate transactions or a reorganisation of the ApexQuant brand, the rights and obligations arising from these terms, provided that the assignment does not reduce the rights and protections, present or future, granted to the consumer. Where the assignment could entail a reduction of those protections, the consumer is informed in advance, before the assignment takes effect, and may withdraw at no cost, with a refund of the paid but unused portion of the service. The user may not assign or transfer their rights or obligations without the Company's written consent.
No waiver
The failure or delay by the Company in exercising any right or power under these terms does not constitute a waiver of that right or power, nor does it preclude the Company from exercising it subsequently.
Severability
If any provision of these terms is void, unfair or ineffective, it does not bind the user; the remaining provisions remain valid and effective. The ineffective provision is replaced solely by the applicable mandatory or non-derogable provision, where one exists; in relations with consumers, no replacement that reduces their protections shall apply.
Free resources
Nature of the free resources
ApexQuant may make available content, communities, checklists, webinars, reports, updates, calls, groups, supplementary materials or other support free of charge. Such resources do not form an essential part of a purchased product, unless otherwise indicated in writing.
Availability and changes
Free resources may be modified, suspended, replaced or removed at any time. The user does not acquire a permanent right to their availability, continuity, updating or compatibility with third-party tools.
Personal use
Even when offered free of charge, the resources remain protected by intellectual property rights and may be used only for personal purposes. Unauthorised sharing, resale, publication or commercial reworking is prohibited.
External platforms
If the free resources are delivered via social networks, chats, video platforms, communities, email marketing tools or third-party services, the user accepts that such platforms may apply their own terms, technical limits, policies and data processing.
ApexQuant product conditions
Subject matter
ApexQuant products may include training, learning materials, digital content, software tools, informational consultancy, communities and support. The composition of each product is that indicated in the relevant offer. The purpose of the content is to help the user understand and apply independently certain strategies, procedures and operating logics.
Plans, prices and subscriptions
ApexQuant may offer different products, with different prices, plans, access levels, durations, bonuses, payment methods and conditions. Some products may be purchased on a one-off basis, while others may involve instalments, subscriptions, renewals or recurring access. The applicable economic conditions are those indicated in the specific offer, on the sales page, at checkout, in the contract or in the commercial communication accepted by the user.
Software tools (where provided)
Some offers may include access to one or more software tools. Depending on the offer, such tools may be included in the price, supplied separately, offered free of charge or sold independently; what is included, and on what basis, is indicated in the specific offer. No software tool is sold as a financial product, none involves management of funds by ApexQuant and none represents a promise of return.
Each piece of software may have different requirements and compatibility, and its operation may depend on platforms, services, servers, APIs, connections, devices, credentials or third-party services. There is no guarantee that any given software will work with any given configuration. The Company may update, modify, replace, suspend or discontinue software functionality for technical, operational, security, regulatory or commercial reasons. For consumers, any changes that adversely and non-negligibly affect access to or use of the digital content or service are subject to the protections of law, including, where applicable, prior notice and the right to terminate the contract.
No guarantee of results
ApexQuant's training, software, examples, procedures and materials do not guarantee profits, recovery of capital, a certain reduction of risk or future financial results. The user remains responsible for every operational decision and for the use they make of the tools provided.
Commercial guarantees
Any refund guarantees, trial periods, cancellations, upgrades, downgrades, pauses or special conditions apply only to the product, plan or offer in which they are expressly indicated. If a specific offer does not state a guarantee, it must not be understood as covered by a commercial refund guarantee.
Personal use and prohibition of distribution
Training, videos, PDFs, software, credentials, procedures, strategies, scripts, reports, communities and digital materials are granted for the user's personal use. It is prohibited to copy, sell, share, upload them online, include them in databases, use them to train systems, distribute them to third parties or remove any protection systems.

Types of data processed
- Identification and contact data, such as first name, surname, email, telephone and country.
- Data provided in forms, in commercial enquiries, in calls, in questionnaires or in communications with the team.
- Technical and browsing data, such as IP address, browser, device, page visited, logs and security information.
- Data relating to interest in the services, preferences, marketing consents and the history of interactions.
- Data relating to payments and transactions (for example payment instrument, billing data, order history), also processed through payment service providers.
- Data necessary for the management of purchases, access, assistance, onboarding or contractual relationships.

Recipients and providers
The data may be processed by authorised personnel, collaborators, consultants, technical providers, cloud providers, CRM tools, email marketing tools, advertising and analytics platforms, payment service providers, any third-party partners or intermediaries connected to the product or service requested, legal or tax advisers and other parties necessary for the provision of the services or the fulfilment of obligations.
International transfers
The controller is based in the United States of America, a third country for which there is no European Union adequacy decision applicable to the controller (the controller does not participate in the EU-U.S. Data Privacy Framework), and relies on providers located also outside the European Economic Area. Transfers take place on the basis of the Standard Contractual Clauses (art. 46 GDPR), supplemented where necessary by additional measures, or of other instruments recognised by the legislation. Retention
The data are retained for as long as necessary for the purposes for which they are collected, in particular: the data of unconverted leads for up to 24 months from the last contact or until revocation; contractual data for the duration of the relationship and the applicable limitation periods; tax and accounting data for the periods required by law; data processed on the basis of consent until revocation; logs for a limited and proportionate period.
Rights of the data subject
Within the limits provided by the legislation, the user may exercise the rights of access, rectification, erasure, restriction, portability, objection and withdrawal of consent by writing to [email protected] or to the representatives indicated above.
Complaint
The user may lodge a complaint with the competent supervisory authority, in particular that of their State of residence or work. In Italy: the Garante per la protezione dei dati personali (www.garanteprivacy.it).
Minors
The services are not directed at minors. The Company does not knowingly collect data of minors; should it become aware of any such data, it will delete it.
Risk disclosure
The financial markets are volatile and may generate losses. No method, strategy, training content or software tool eliminates risk. Any activity on the financial markets may go through negative phases, losses, drawdowns, divergences between expected and actual results, execution delays or errors, abnormal market conditions and other adverse events.
Before operating, the user must understand the costs, leverage, margin, spreads, liquidity risks and possible losses, read the disclosures of any third-party services used and use only capital that they can afford to lose. No ApexQuant communication should be interpreted as a guarantee of capital protection or of return.
Scope and intended market
ApexQuant operates as the commercial brand of Blackbox Labs LLC. Where a service involves third parties (for example brokers, platforms or intermediaries), those parties are independently responsible for their own licences, disclosures, onboarding procedures, verifications and custody of funds.
The services are not offered to residents of jurisdictions where the offer would require an authorisation that the Company does not hold, including, by way of example, the United States of America, the United Arab Emirates and the United Kingdom. Use of the services outside the markets for which they are intended is not authorised; the Company may refuse or restrict access to users resident in jurisdictions that are not permitted.
The user declares that they do not reside or operate in a country subject to applicable embargoes or restrictive measures and that they are not listed on any register of sanctioned parties or persons subject to restrictive measures. The Company may refuse, suspend or limit access to the services where necessary to comply with applicable sanctions or restrictive measures.
